The Opportunity Associate Legal Counsel will be a part of the Company’s growing legal department at its corporate headquarters in Lafayette Hill, Pennsylvania, and will report to Hajoca’s General Counsel. Associate Legal Counsel will be responsible for reviewing, drafting and negotiating a variety of complex corporate documents and contracts, and consulting and advising management and business staff on legal and business issues relating to commercial transactions. This individual will also provide legal research and interpretation of statues, regulations and legal procedures. Duties also include working on acquisitions and developing and providing education and training to Company employees. Responsibilities of an Associate Legal Counsel include: Review, draft and negotiate a variety of commercial contracts and documents including customer purchase orders, master services agreements, manufacturers’ distribution agreements, non-disclosure agreements, supply agreement, IT agreements and government contracts. Review, approve and negotiate existing contract amendments and modifications. Create and maintain form agreements in support of the Company’s business. Conduct acquisition due diligence as directed by Assistant General Counsel. Receive and coordinate timely responses to subpoenas and other legal notices. Assist Company’s credit department with lien waivers, joint check agreements, promissory notes, security agreements and customer collection efforts. Provide training to Company employees on substantive legal topics. Work collaboratively with members of the Legal Department, as well as Company executives and business unit leaders of various operating divisions. Provide legal support and advice on a broad range of other areas as required. Why Hajoca? Ability to organize and manage multiple projects and prioritize competing needs in an often- changing environment. Must be client focused and have natural ability to work with others including business associates, management and outside counsel. Must have excellent research, writing, analytical and communication skills and the ability to perceive and explain the practical application of law to nonlawyers. Goal and process oriented, with a demonstrated ability to prioritize tasks; experience and judgment to plan and accomplish objectives in efficient manner. A creative thinker who can initiate and develop alternative resolution approaches to complex issues. Works well both independently and as a team player.
