Reporting to the General Counsel and Corporate Secretary (“GC”) and based in the Toronto office of the Canadian Olympic Committee (COC), the Senior Legal Counsel supports the in-house legal needs of the COC in all areas of its business, including but not limited to: primary lead on legal matters for the Marketing department and COC’s Toronto office; drafting and enforcement of commercial and other agreements, licenses and terms of use; contract negotiation, research and evaluation of different risk factors regarding business decisions and operations; compliance with intellectual property rights of third-parties, enforcing intellectual property rights; analyzing privacy, data protection and other legal issues; general legal support to other COC business stakeholders; provide legal updates and training; legal and regulatory issues management; and provide support for Board and Governance Committee, as needed. LOCATION This position will be located in the COC office in Toronto, ON at 250 Yonge St. Suite 3000. CORE RESPONSIBILITIES AND PRIORITIES Marketing/Marketing Partnerships and Commercial Affairs Business Partner: Act as lead on legal and contractual matters for the Marketing/Partnerships Department, including providing strategic legal support and advice relating to: activities initiated by the following teams: Brand Marketing, Marketing Partnerships, Business Development, Digital and Commercial Affairs; drafting and negotiating sponsorship, licensing and other commercial agreements/term sheets; contract development, contract interpretation, opinions on sponsorship category definitions and dispute resolution; innovation and new revenue generation concepts; digital strategy, content, data and the monetization of COC’s and our marketing partner digital assets Intellectual Property: Manage the COC’s intellectual property portfolio including: performing routine auditing of portfolio and liaising with internal stakeholders regarding IP and trademark needs, managing 3rd party trademark monitoring services and reviewing weekly reports, performing initial screenings/searches to assess the availability of new marks for use and consulting with and directing external counsel to support registration of new marks and opposition of third-party registrations, where necessary. Licensing: Provide support for all aspects of licensing COC marks/IP including contract drafting, contract interpretation and issues management. Brand Protection: Collaborate with Commercial Affairs team to review Brand Protection Framework and ensure it meets all legal parameters, including plans for dealing with infringements. Provide legal support on infringements including providing legal analysis, proposed solutions, supporting overall strategy, reviewing and drafting communication as necessary. Legal Support for Games: Provide support to Marketing, Marketing Partnerships and Commercial Affairs teams in relation to Games activities. Data Privacy: Provide support for COC activities in compliance with data privacy laws and regulations and support the implementation of best practices related to the collection, use and disclosure of data. Contracts and Agreements: Assist in the creation and review of COC contracts including but not limited to Marketing and other goods and services contracts and agreements. Contribute to the development and implementation of a document control and filing system for all such contracts, as part of the COC document management system of the Legal Department and the COC. Governance: Provide support to the GC in connection with the COC Board/Session and COC Committees. Human Resources: Provide guidance and support on matters related to Ontario employment standards, employment agreements, policies and procedures, and employee issues and complaints, particularly with respect to the COC’s Policy Statement and Guidelines on Conduct and other related employee matters. General Legal Matters and Special Projects: Provide legal support, guidance and internal training on new and emerging legal topics, cross functional COC working groups, the Canadian Olympic Foundation on matters similar to the COC, and special projects as needed. QUALIFICATIONS AND CRITICAL SKILLS Education and Experience Bachelor of Laws (LLB) or JD Practicing member of the Ontario Bar with the ability to seek Bar practice permit other provinces 5 – 7 years of relevant post-call law firm and/or in-house legal experience Relevant experience and demonstrated understanding of commercial partnerships/sponsors and intellectual property and commercial rights, and marketing Experience in sport and entertainment law is considered an asset Skills and Abilities Strong business acumen with an ability to present both pragmatic and creative solutions to issues both as legal advisor and team player. Possesses the ability to create an environment of trust and respect by building relationships, managing conflict, and influencing others with integrity to achieve desired results. Strategic thinker with strong problem-solving and analytical skills. Excellent communication, interpersonal, and leadership skills including the ability to present material, written and oral, in a concise, effective, and professional manner to a variety of groups and individuals and convey legal related advice to non-lawyers. Credibility and presence to interact with, and present at, senior executive levels internally and externally. Possesses excellent judgment and common sense, and operates with discretion, responsiveness, and integrity, with the ability to function in a discreet, diplomatic, and confidential manner. Strong negotiation skills. Financial and budget planning and resource management skills with strong attention to detail. Bilingual in both official languages (English and French – written and verbal) an asset. Sense of humour.
