Global M&A and Securities Lawyer Job Description Work closely with internal business partners from M&A, Treasury and Investor Relations/Communications on appropriate paths and strategies to achieve our strategic outcomes. Provide M&A advice for AB InBev globally Execute complex, highly scrutinized cross-border transactions under U.S. and ex-U.S. law Develop legal strategy relating to acquisition and divestitures Experience and ability to regularly present to c-suite, board, business unit presidents and other internal stakeholders Work closely with M&A teams and regional companies and other functional groups in all stages of acquisitions and divestitures, including drafting term sheets, managing deal processes, drafting and negotiating definitive documentation, managing due diligence Provide advice for capital markets activity Manage and execute debt offerings and liability management transactions (including tender offers and exchange offers) Manage and execute transactions relating to large credit facilities Advise on execution of derivative transactions Provide disclosure advice for AB InBev Partner with the Investor Relations and Communications teams on investor engagement activities, disclosure matters and earnings. Review external communications, including press releases, investor presentations, and other announcements, and significant internal communications Prepare and review SEC filings, including 20-Fs, 6-Ks, S-8s and other related filings to ensure compliance with SEC and NYSE rules and regulations Job Qualifications Accredited lawyer (JD, LLM, etc..) with strong academic credentials Minimum 5 years experience in law firm or in-house legal department Successful track record with transactions in challenging environments Experience working with multiple clients or business partners on time-sensitive matters, ideally with a combination of law firm and in-house experience. Experience in positively and successfully managing relationships with a high energy, diverse group of stakeholders across organizational and geographic lines. A thoughtful, articulate and effective communicator who can distill and articulate the important aspects of any legal issue to a wide audience of participants.
